1. Agreement to Terms

By accessing or using the On-Hold Message Studio website and services ("Services"), you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of these Terms, you may not access our Services.

On-Hold Message Studio provides an online platform for creating professional on-hold audio messages. Our services include:

• AI-powered script generation based on your business information
• Text-to-speech conversion using professional AI voices
• Background music selection and AI music generation
• Audio mixing and processing for broadcast-quality output
• Downloadable audio files in MP3 and WAV formats

3. User Accounts

3.1 Account Creation

To use certain features of our Services, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

3.2 Account Termination

We reserve the right to suspend or terminate your account at any time for any reason, including but not limited to violations of these Terms. Upon termination, your right to use the Services will immediately cease.

4. Payments and Billing

4.1 Pricing

Our Services are offered on both a pay-per-use (credits) and subscription basis. All prices are listed in US dollars and are subject to change with notice.

4.2 Payment Processing

Payments are processed securely through Stripe. By providing payment information, you authorize us to charge the applicable fees to your payment method.

4.3 Subscriptions

Subscription plans automatically renew at the end of each billing period unless cancelled. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.

4.4 Refunds

Due to the digital nature of our products, we generally do not offer refunds for completed generations. However, we may provide refunds or credits at our discretion if:

• There was a technical error that prevented proper delivery
• The generated content was significantly different from what was ordered
• You contact us within 7 days of the purchase

5. Acceptable Use

You agree not to use our Services to:

• Violate any applicable laws or regulations
• Create content that is defamatory, obscene, threatening, or harassing
• Impersonate another person or entity
• Create content that infringes on intellectual property rights
• Transmit viruses, malware, or other harmful code
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Services
• Use automated means to access the Services without permission
• Resell or redistribute the Services without authorization

6. Intellectual Property

6.1 Our Content

The Services, including the website, software, and all content created by us (excluding user-generated content), are owned by On-Hold Message Studio and protected by copyright, trademark, and other intellectual property laws.

6.2 Your Content

You retain ownership of the script text and business information you provide. By using our Services, you grant us a limited license to process this content solely for the purpose of providing the Services.

6.3 Generated Audio

Upon successful payment, you receive a license to use the generated audio files for your business on-hold messaging purposes. This includes:

• The right to use the audio on your phone system
• The right to modify or edit the audio for your use
• The right to use the audio for as long as you wish

You may not resell, redistribute, or sublicense the generated audio to third parties.

7. Third-Party Services

Our Services integrate with third-party providers including ElevenLabs for voice synthesis and music generation services. Your use of these features is subject to the respective third-party terms of service. We are not responsible for the content or practices of these third parties.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• UNINTERRUPTED OR ERROR-FREE OPERATION
• ACCURACY OR RELIABILITY OF RESULTS

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ON-HOLD MESSAGE STUDIO AND ITS AFFILIATES SHALL NOT BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, DATA, USE, OR GOODWILL
• BUSINESS INTERRUPTION

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless On-Hold Message Studio and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Content you submit through the Services

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after any changes constitutes acceptance of the new Terms.
